To access certain services, you may be required to create an account. You agree to:

• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

You may not transfer your account to another party without our prior written consent.

Fees and Billing

Payment Methods

We accept various payment methods as indicated during the registration or checkout process. You authorize us to charge your provided payment method for all applicable fees.

Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Refunds

Refund policies vary by service type and are specified in your service agreement. Generally, fees paid for services already rendered are non-refundable.

Our service level commitments, including uptime guarantees, support response times, and remedies for service failures, are detailed in separate SLA documents provided with your service agreement. These SLAs form part of these Terms of Service.

Our Intellectual Property

All content, features, functionality, software, and technology provided through our services are owned by Esnoei or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

Your Content

You retain ownership of any data, content, or materials you submit to our services. By using our services, you grant us a limited license to use, store, and process your content solely to provide the services to you.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms of Service.

You are responsible for ensuring that any data you provide to us complies with applicable data protection laws and that you have the necessary rights and consents to share such data with us.

We strive to provide reliable and continuous service, but we do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice when possible
• Conduct emergency maintenance as needed for security or stability
• Temporarily suspend services for upgrades or modifications
• Experience service interruptions due to factors beyond our control

We will make reasonable efforts to minimize service disruptions and provide advance notice of planned maintenance.

To the maximum extent permitted by law, Esnoei shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

• Your use or inability to use our services
• Unauthorized access to or alteration of your data
• Service interruptions or errors
• Third-party conduct or content
• Any other matter relating to our services

Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or availability of services
• Warranties that services will be error-free or uninterrupted

You agree to indemnify, defend, and hold harmless Esnoei and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms of Service
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Your use or misuse of our services
• Any content or data you submit to our services

These terms remain in effect while you use our services. Either party may terminate the service agreement:

• By providing written notice as specified in your service agreement
• Immediately if the other party materially breaches these terms
• Immediately if required by law or regulatory authority

Upon termination, your right to use our services will immediately cease. We may delete your data in accordance with our data retention policies. Provisions that by their nature should survive termination will continue to apply.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Arbitration

Any disputes arising from these terms or our services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to systems.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Esnoei.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these terms without our prior written consent. We may assign these terms without restriction.
